Shteg.ai Terms of Service
1. Acceptance of Terms
By accessing or using the Shteg.ai "Financial Sidecar" and standalone toolset (the "Service"), you ("Subscriber," "Practice," or "Provider") agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a medical group or MSO, you represent that you have the legal authority to bind that entity.
2. Description of Services
Shteg.ai provides an autonomous financial intelligence layer, including:
- Credentialing Automation: Primary Source Verification (PSV) via national APIs — FSMB, NPDB, and CAQH.
- Rate Negotiation Engine: Market parity analysis using 2026 CMS Schema 2.0 Machine-Readable Files.
- Financial Routing: Real-time Medical vs. Vision logic and patient cost estimation.
- Agentic Operations: Autonomous AI agents that query and process healthcare data on your behalf.
3. Practice Responsibilities & Clinical Oversight
- Data Accuracy: You are solely responsible for the accuracy of Provider and Practice data uploaded to the Service.
- Clinical Firewall: Shteg.ai is a financial and administrative tool only. It does not provide medical advice or interfere with clinical judgment. You maintain 100% autonomy over patient care.
- Final Approval: While Shteg.ai generates Negotiation Packages and Credentialing Forms, you are responsible for final review and legal submission of all documents.
4. AI & Agentic Liability — The "2026 Clause"
- Autonomous Logic: You acknowledge that Shteg.ai utilizes Agentic AI to process trillions of rows of payer data.
- Indemnification for Hallucinations: Shteg.ai uses advanced grounding (Google Antigravity), but does not guarantee the AI will never produce an error. Shteg.ai is not liable for financial discrepancies resulting from unverified AI-generated suggestions.
- Human-in-the-Loop: You are required to perform a Human-in-the-Loop review for all high-value contract signatures.
5. Data Ownership & HIPAA
- Practice Ownership: You own all Practice-specific data and patient records (PHI) uploaded to the platform.
- Usage License: You grant Shteg.ai a limited, non-exclusive license to use de-identified, aggregated data to improve National Market Median benchmarks.
- BAA Incorporation: These Terms incorporate by reference the Shteg.ai Business Associate Agreement (BAA).
6. Fees, Payments & Renewals
- Subscription: Fees are billed monthly or annually per your selected tier.
- Performance Fees: If your tier includes Negotiation Success fees, these are calculated based on the annualized increase in payer fee schedules as identified by the Shteg.ai audit.
- Auto-Renewal: Subscriptions renew automatically unless cancelled 30 days prior to the term end.
7. Proprietary Rights
The Shteg.ai Engine — including its proprietary negotiation algorithms, Agentic AI skills, and the Sidecar UI — is the exclusive intellectual property of Shteg.ai. You may not reverse-engineer or "scrape" market parity data for use outside of the platform.
8. Disclaimers & Limitation of Liability
- No Guarantee of Results: Shteg.ai provides negotiation tools; we do not guarantee that any insurance carrier will agree to a rate increase.
- Limitation: To the maximum extent permitted by law, Shteg.ai's total liability for any claim shall not exceed the total fees paid in the 12 months preceding the claim.
9. Termination
Either party may terminate with 30 days' notice. Upon termination, Shteg.ai will provide a Data Portability Export (JSON/CSV) of credentialing history and negotiated rate logs for 60 days.
10. Governing Law
These Terms are governed by the laws of the State of Connecticut. Any disputes shall be resolved via binding arbitration in Fairfield County, CT.
